The speaker also discusses business structures, including:

  • Sole Proprietor - In this structure, the business owner has no liability protection and can be sued personally for business issues. The speaker does not recommend organizing a business this way.

  • Partnership - If more than one person comes together, they are automatically a partnership according to the IRS. A partnership operates with a partnership agreement.

  • LLC (Limited Liability Company) - This structure is common among small businesses. It provides limited liability protection for personal debt and separates what the business owes from what the individual owes. An LLC is a pass-through entity, meaning the taxes are reported on the owner's personal return, usually on a Schedule C.

  • S Corp and C Corporation - These are other business structures, though S Corps are not typical for small businesses and are often used by much larger organizations because they are costly. The structure of a business impacts liability, the amount of taxes paid, control over the business, and compliance with laws. C Corporations can raise a lot of capital by issuing stock and are often large organizations like Walmarts and Targets.
